General information about taxation in Hong Kong

The direct taxes of the government are profits tax, salaries tax and property tax.Hong Kong operates a territorial basis of taxation under which only profits or income arising in Hong Kong is taxable. The current corporate profits tax rate is 16.5%. There is no tax on capital gains.Salaries tax is imposed on income arising in Hong Kong from any office or employment. Tax payable is calculated on a sliding scale that progresses from 2%-17%.Property tax rate on 15% on rentals received less an allowance of 20% for repairs and maintenance. Corporations that pay profits tax on their rental income are exempt from property tax.

 

How to incorporate a limited company in Hong Kong to engage in commercial activities?

Choose a company type and an intended company name.
Conduct a company name search to ensure that the intended company name should not be the same as that of an existing company.
A company name search can be conducted free of charge through the Companies Registry, either via its on-line platform or its office.
For a company limited by share, an English company name must end with the word “Limited” and a Chinese company name must end with the characters “有限公司”.
Deliver the application documents with the correct fees to the Companies Registry. Application documents include:
Incorporation Form – Form NNC1 (for company limited by shares) or Form NNC1G (for company not limited by shares);
(b) A copy of the company's articles of association; and
(c) A Notice to Business Registration Office (IRBR1).

 

How could an oversea company establish a branch office in Hong Kong?

There are 2 common business forms for foreign investment in Hong Kong: registration of the branches, representatives or other offices of the overseas companies; incorporation of registered limited liability companies (subsidiary companies incorporated in Hong Kong). There are no controls on foreign direct investment by means of the regulation of foreign corporations that carry on businesses in Hong Kong and the choice between the above 2 methods are merely business decision.

 

Application of Visas:
Foreign investors coming to Hong Kong for business must apply to the Immigration Office/Department for visas at the applicants' local Embassy of the People's Republic of China. The issue of visas is completely under the discretion of the Immigration Department.

 

Register as a Registered non-Hong Kong Company:
A foreign company that has established a place of business in Hong Kong must register as an 'oversea' company with the Registrar from the commencement of business.

 

A non-Hong Kong company is required to register as a registered non-Hong Kong company within one month after the establishment of the place of business in Hong Kong. The following documents together with the prescribed fees have to be delivered to the Registrar of Companies for registration:

 

a Form NNC1 reporting the company's name, the address of the principal place of business, particulars of directors, company secretary and authorized representative in Hong Kong , etc.;
a certified copy of the instrument defining the company's constitution e.g. charter, statutes or memorandum and articles of association;
a certified copy of the company's certificate of incorporation (or its equivalent);
a certified copy of the company's latest published accounts; and
a Notice to Business Registration Office
