Foreign investors that are going to set up a business in Hainan may be exposed to three major business forms: WFOE (wholly foreign owned enterprise), JV (joint venture), and RO (representative office). However, before setting up a business, you would better have an understanding of the relevant requirements.
 

1. Registered Capital
In China, the Company Law stipulates that all enterprises, foreign-invested or otherwise, must register a fixed level of operational capital with the relevant authorities, deemed the company’s “registered capital” , as part of the basic corporate establishment process.
Changing the registered capital of a company in China is not easy and requires the coordination of various types of documentation, governing authorities and company personnel. Given the proper planning, however, it can be done. Whether for keeping company operations afloat or enabling profits to be sent home sooner, setting the right amount of registered capital can be a critical factor for the success of your business in China.

2. Registered Address
Finding out where the company is official registered can help identify any red flags, such as the company being located in a totally different location to the one they told you. You should note, though, that it’s very common for a Chinese company’s registered address to be different to its actual operational address. The two should be relatively nearby, but companies may register a separate address for legal or operational reasons.
 

3. Legal Representatives
Each company established in China, whether domestic or foreign-owned, must have a legal representative who is the main principal of the company and has the authority to represent the company and enter into binding contracts or contractual obligations for and on behalf of the company in accordance with the law and articles of association of the company.
There are no residence or citizenship requirements for the legal representative but the personal details of the legal representative must be registered with the relevant company registration authorities in China and his name will also be printed on the company’s business license.
