All the requirements about setting up a company in Shenzhen has changed since the beginning of 2013. Different business activities have various requests.
1. Basic requirements:
1) draw up a company name;
2) work out a plan about registered capital, the ratio of registered capital, and confirm business activities;
3) provide legal representitive, scanning copy of shareholders’s ID, and also ID of directors if setting up board of directors;
4) provide scanning copy of ID, address, phone number and tax number of supervisor;
5) office address (original copy of house lease certificate and lease contract, if needed)
2. Shenzhen company tax declaration know-how:
1) Tax categories:
Main categories: value-added tax, consumption tax, business tax and customs duty, resource tax, urban land-using tax, corporate income tax, personal income tax, urban construction tax, real estate tax, etc. Among them, valued-added tax, consumption tax, business tax, and personal income tax must be declared to the local tax authority monthly. Corporate income tax must be declared to the State Taxation Bureau or the Shenzhen Taxation Bureau quarterly, and settled within six months after the end of the year.
2) Mode of tax declaration:
(1) zero tax return---suit for startups with no business;
(2) declare tax after accounting---suit for companies with business;
3) Documents preparation:
(1) Shenzhen company’s bank statement and relative receipts;
(2) Sales receipts;
(3) Shenzhen company’s cost invoice;
(4) Shenzhen company’s account book;
(5) Shenzhen company’s expense invoice: cost, rent, office expenses, communication expenses and traval expenses.
