As a bridge connecting between Hong Kong and mainland China, Shenzhen and Hong Kong are highly conplementary in resources and advantages and there is a solid foundation for cooperation and bright prospects for development. 1. Company name
There are some limitation regarding to Shenzhen company name. In the same industry, both company name and trade name can not be reused. It will be prohibited if relating to well-known trademarks etc. If company name contains words like “prefecture-level city”, it will need to be approved by a municipal unit; it its name contains “provincial”, it needs to be approved by a provincial-level unit; if its name contains words like “China”, it needs to be approved by the Ministry of Commerce of China, etc.
2. Registered capital
The Shenzhen government has not required minimum registered capital since the beginning of 3rd. March 2014. It means that ratio of capital, time of capital contribution, method of capital contribution should be agreed by shareholders. Some special industries have requirments about registered capital in terms of bank, insurance, pawn shops, security companies and accounting firms.
3. Basic requirements
1) At least one shareholder and director who is 18 years old;
2) One supervisor if there is only one shareholder;
3) Legal representative (it can be a sharehold or director or other person);
4. Business scope
Shenzhen domestic enterprise is not related to company name but invloves in registered capital. It contains general business scope and special business scope.
5. Documents need to prepare
(1) Providing one or two proposed names (in Chinese), and provide two or more alternative names in case the first name is not available.
(2) Confirming the registered capital, business activity, company management personnel including legal representative, director, manager and supervisor.
