Representative Office (RO) is established by foreign companies to engage in business liaisons,quality control, product promotion, market research, exchange of technology and other permittedactivities in China.
I. The Registration Process of Representative Office in Shanghai--required name
Country/Region Name + Parent Company Name + (in proposed district) Representative Office
For example, America ABC Consulting Company (Shanghai) Representative Office.
II. The Registration Process of Representative Office in Shanghai--scope of operation
A Shanghai representative office can only carry out business liaisons, product promotion, market research and technical exchange on behalf of an offshore parent company within the scope of operations of its headquarters and cannot carry out operating activities directly in its own capacity.
III. The Registration Process of Representative Office in Shanghai--required documents
1、Materials provided by foreign dispatch enterprise
(1) The residence Certificate of the Foreign parent Company and at least two years legal business proof;
(2) Foreign (regional) enterprise articles of association or organization agreement;
(3) Appointment letter or certified documents for the authorized signatory from foreign parent company;
(4) The appointment letter for the Chief Representative and General Representative from foreign enterprise and representatives’ identity certificate;
(5) Original bank reference letter of foreign enterprise;
(6) Resume of chief representative and general representatives (attach two inch five photos of each). If Chinese people will be the Chief Representative and General Representative, they should provide the dispatched letter that issued by Foreign Service Units;
Note: Item 1 to 5 shall be approved by the foreign enterprise belong to file countries or regions notary agency and notarized by authorized organization, and endorsed by local China embassy.
2、Documents provided in Shanghai
Original certificate of residence for office location (1、Two copies rent of contract; 2、Two copies of house-owner certificate and plane segment chart (house owner’s signature or stamp); 3、If the house is its own, provide with copy of house-owner certificate and original offered for checking).
3、Documents provided by Shanghai agent require for directors and chief representative’s signatures
(1) Application form from Administration of Industry and Commerce for establishing RO;
(2) The application letter from parent company, with enterprise president or general manager’s signature and chop;
(including RO’s name, registered address, the name of the chief representative and general representatives, business scope, residence term).
IV. The Registration Process of Representative Office in Shanghai--Operating Period
The term of residence of the foreign representative office is three years and shall not exceed the subsisting period of the foreign company. The representative office can apply for extension before expiry of term. In doing so, the representative office shall submit the related application report to the relevant authority 60 days before expiry. In China, different place have different policy, but almost depend on the parent company's operate period.
