1. Name of Shanghai WFOE
Name of WFOE can not be repeated. The industry is related with the registered capital. You should prepare more than 3 names. The format of names: Shanghai+ word size+ industry +limited company, or Word size + Shanghai+ industry + limited company. E.g. Tannet group (Shanghai) limited company
2.Registered capital
For the manufacturing enterprise, the registered capital is usually required USD 140,000 or above (USD 200,000 is much better)；For the trading enterprise, the registered capital is usually required as much as USD 140,000; For the service sectors, such as consultancy, technology, market research and development, the registered capital is usually required USD 100,000.(All of the registered capital must be paid).
3.Shareholder 、Director、supervisor and legal representative of the company
1、Shareholder:one or more than one 18 years old foreign natural or legal persons(inculd hongkong,macao and taiwan)
2、Director :can be foreign or chinese;
3、Supervisor :whether Chinese or foreign can hold this position, if only one shareholder, should also provide supervisor).
4. Industries needed to apply for pre-approval
Apply for the following trades and industries, need to go to the relevant departments for special permit, also known as pre-Approval. E.g.：The food circulation lisence、Wholesale liquor license、Talent intermediary、travel agency、agency bookkeeping、carve industry、medicines、Gas stations、storage of refined oil、slaughter, education, religious groups, the auction industry, the pawn, car parking, lawyers, accounting services, agency billing, human resources intermediary, employment, study abroad institutions, investment immigration agencies, construction, decoration, engineering, road freight transport, publication printing, cosmetics, food production and operation, travel agencies, medical institutions, medicine and equipment, insurance, banking and so on.
5. Business scope
Shanghai Company’s business scope is limited; business license must exactly refer to the scope of business; more registered capital, wider business scope. In order to align to the WTO, Chinese government gradually relaxed the business scope, as long as the laws and regulations allow to operate. If related to specific industries, you must firstly apply for pre-approval.
6.Material needed
I. Investing as a foreign corporate:
(1) 3 company Chinese names at least;
(2) 2 original Notarization of the business license or certificate of incorporation of the parent company（It should be notarized by domestic notarization Department and endorsed by local China Embassy）;
(3) 1 original bank reference letter（It is opened from investor's bank, the deposit money is not less than the registered capital in China, issued within 6 months in both English and Chinese version）;
(4) Recent 1 year Audit report from foreign investing company;
(5)Registered Capital the registered capital of International Freight Forwarding Agent Company is 5 millions
, proportion of investment and business scope;
(6) Three photos of Legal Representative, the copy passport of Legal Representative;
(7) M&A and Feasibility Study Report (Tannet provides with standard template);
(8) A set of documents require for investors and Shanghai legal representative’s signatures (Tannet provides);
(9) Contract of rent
Manufacturing enterprise：original Contract of rent in triplicate，3 copies of house-owner certificate（The house should be rent in the name of the investor or the company, more than 200 square meters // Lease period :more than one year // Use for the plant）;
Non-production enterprise：original Contract of rent in triplicate，3 copies of house-owner certificate（The house should be rent in the name of the investor or the company, more than 30 square meters // Lease period: more than one year // Use for office or business）;
II. Investing as natural persons:
(1) 3 company names at least;
(2) Providing investors’ passport（It should be notarized by domestic notarization Department and endorsed by local China Embassy）;
(3) 1 original bank reference letter（It is opened from investor's bank, the deposit money is not less than the registered capital in China, issued within 6 months in both English and Chinese version）;
(4)Registered Capital the registered capital of International Freight Forwarding Agent Company is 5 millions
, proportion of investment and business scope;
(5) Three photos of Legal Representative, the copy passport of Legal Representative;
(6) M&A and Feasibility Study Report (Tannet provides with standard template);
(7) A set of documents require for investors and Shanghai legal representative’s signatures (Tannet provides);
(8) Contract of rent

Note:(1).all the documents submitted to government should be signed by black ink pen(2).if documents involved in foreign language must be translated into Chinese and those documents should be stamped by translation company
7. Procedure
Fill the application form——pay the advance payment——Check the company name with local ICAB——Make M&A and Feasibility Study Report——Go to the Foreign Economic & Trading Commission for Certificate of Approval——Apply for the Business License from ICAB——Apply for chops from the Public Security Bureau——Apply for the Organization Code License from Bureau of Quality and Technical Supervision——- Apply for the Tax Registration License from Tax Bureau—- Apply for Foreign exchange registration license from State Administration of Foreign Exchange——Open the basic bank account——Apply for Statistics Certificate――-Apply for Financial Registration License

9. Time needed
All the documents are ready, consulting enterprise: 40-50 working days
All the documents are ready, trading enterprise: 60-90 working days
All the documents are ready, manufacturing enterprise: 60-90 working days after getting pre-approvals.
10. Import and Export right
In Shanghai, the Import and Export right is to go through the approval of Shanghai Foreign Economic and Trading Commission. Import and Export right means an enterprise owns the right for customs declaration which import or export legal merchants itself freely. The registered capital must be 500,000 RMB for applying for Import and Export right. Tannet can do it for you.
11. Annual auditing
From the second year of company registration, every year from Janurary 1st to June 30th must apply for industrial and commercial annual inspection，the company registered before the 1st July must do the auditing before the annual inspection, the company registered after the 1st July can do the annual inspection directly.
