Ⅰ. Authority to register a Singapore company
Acra is the only competent authority for the registration of Singapore companies. All companies and businesses are required to be registered with acra. In addition to banking, finance, insurance, securities, communications, transportation and other industries and production industries that have an impact on the environment that need to apply to the relevant industry management departments of the government, the establishment of commercial institutions and companies can only be registered with the registration bureau.
Ⅱ. Shareholders
According to the Singapore company law, a joint stock limited company (private limited company) has independent legal personality. It can take part in litigation, own assets, and incur debt. The liability of the shareholders of the company is limited to the amount subscribed but not fully paid. As long as the subscribed shares have been fully paid, the shareholders of the Singapore company shall have no other liability for the debts of the Singapore company, unless the relevant shareholders provide personal guarantee for the company's foreign debts.
Ⅲ. Document List
1.The articles of association and bylaws of the Singapore company registered in Shanghai;
2.Affidavit of compliance with laws of Singapore company registered in Shanghai;
3.Certificate of identity of Singapore company registered in Shanghai; 4.Letter of appointment and affidavit of qualification of directors of Shanghai registered Singapore company;
5. Report form of address and office hours of Singapore company registered in Shanghai.
Note: in addition, the detailed list of the director manager, the company secretary and the auditor and the stock issuance record shall be submitted within one month after the establishment of the company.
Ⅳ. Singapore Company Secretary
Within 6 months after the incorporation of a registered Singapore company, a company's legal secretary must be appointed. Its responsibilities include:
1. Promptly submit to the Registrar of commerce the reports and forms required by the companies act of Singapore;
2. Keep the name and minutes of the Singapore company;
3. Sign and confirm every deed and resolution of the board of directors of Singapore company when necessary.
4. Ensure that Singapore company documents are properly sealed with the company seal.
