Not all company can apply for company deregistraion
(For all business owners that they need know that if they can deregistration company in China , if they do not want to run business no longer .Because not any company can apply for deregistration.) -------Only a local private company or a local company limited by guarantee, other than those companies specified in section 749(2) of the Companies Ordinance, may apply for deregistration. The company must be a defunct solvent company.
Conditions for a company deregistration :
(1)the company has not commenced operation or business, or has not been in operation or carried on business during the 3 months immediately before the application;
(2)all the members of the company agree to the deregistration;
(3)the company’s assets do not consist of any immovable property situate in Hong Kong;
(4)the company is not a party to any legal proceedings;
(5)the company has no outstanding liabilities;
(6)the company has obtained a "Notice of No Objection to a Company being Deregistered" ("Notice of No Objection") from the Commissioner of Inland Revenue.
(7)if the company is a holding company, none of its subsidiary's assets consist of any immovable property situate in Hong Kong;
The time need for China company deregistraion
Normally, an approval letter for the deregistration application will be issued in 5 working days. The Registrar will publish a notice of the proposed deregistration . If no objection to the deregistration is received within 3 months after the date of publication of the notice, the Registrar will deregister the company by publishing another notice declaring it to be deregistered on the date of publication of that other notice. The company is dissolved on deregistration. The applicant or the person nominated in the application will be notified upon deregistration of the company. ------- The whole process takes about 5 months.
