1. Company Types: There are such two types of company incorporation as Private Limited Liability Company and Public Limited Liability Company.

 

2. Corporate Names: Names identical or similar enough to create confusion, offensive or otherwise undesirable. Endings and abbreviations required are “Private Limited Company”, “Limited” or its abbreviation “Ltd.” Names of Banks, Insurance, Investment Fund, Trust Company or their Equivalent require consent or license. Name availability is verified within 24 hours depending on name similarity. Any language using the Latin alphabet is allowed for language of name.

 

3. Minimum Authorized Share Capital:EUR 1165, of which at least 20% is to be paid-up.

 

4. Capital and Shareholders: Minimum number of shareholders is at least one. A corporate shareholder is permitted, and there is no restriction on local shareholders. And nominee shareholders are permitted through a licensed Fiduciary or Trustee.

5. Directors and Company Secretary: At least one company secretary and one director are required. The director need not be a Maltese national and may be a body corporate.   

 

6. Meetings of Shareholders:Annual General Meetings of shareholders are required to be held after notice to be given to every member of the company.  

 

7. Documents Required: a detailed curriculum vitae; a certified, clear photocopy of that part of the passport (or alternative valid identification document) which indicates the personal details, specimen signature and photograph; a personal declaration attesting the good standing of the beneficial owner and confirming that such beneficial owner was never adjudged bankrupt or was subject to an investigation by a regulatory or statutory body; a reference from a reputable bank; and a certified photocopy of a recent (i.e. not older than six months) utility bill or suitable alternative document confirming residential address. 

 

8. Procedure: Fill the application form——pay the advance payment——reserve a unique company name ——draft the memorandum and articles of association——deposit the paid-in minimum capital ——register at the Companies Registry——obtain a trade license——obtain a company Tax Identification Number (TIN) ——balance payment. 


9. Length of Time to Incorporate:With all the documents available, service time:10-15 working days.

 

10. Fees and Terms of Payment:Service charges (  USD),  80% advancement payment. You can pay cash, or transfer money and so on.

 

11. Annual Auditing:Annual returns shall be filed annually on the date of company incorporation; Within 9 (nine) months after the end of the fiscal year, normally by September 30, shall file annual financial statements.

 

12. Tax Policy in Malta:The company rate of tax is 35 percent on chargeable income, but shareholders are entitled to a refund. A participation exemption has been introduced in relation to dividends and capital gains derived from participating holding. 5 percent for effective tax rate on trading income for overseas shareholders; 10 percent for royalties income for overseas shareholders. Normally the deadline for payment of corporate tax is within 9(nine) months after submission of annual financial statements, normally by June 30.
